MAP (Minimum Advertised Price) Official Policy and Guidelines To support our resellers’ efforts, ORACLE Lighting established policies that allow resellers to earn the profits necessary to maintain the high level of customer excellence people have come to expect from ORACLE Lighting dealers. In order to protect the investment of our high-quality vendors and ORACLE Lighting’s brand reputation, we have adopted a Minimum Advertised Price Policy (“MAP Policy”). ORACLE Lighting, in its unilateral discretion, will not do business with any reseller if that business intentionally advertises any product below its MAP price. This program is designed to promote healthy competition and fair business practices for the benefit of all dealers. 

Additional guidelines related to this MAP Policy are as follows: 

Enforcement

1. ORACLE Lighting reserves the right to unilaterally and equally take action with respect to any reseller that violates this MAP policy.
   
   
2. ORACLE Lighting partnered with MAP Services Corp as its sole MAP policy enforcer. It will acton behalf of ORACLE Lighting to enforce the policy using the enforcement guidelines below.
   
   
3. ORACLE Lighting understands that any authorized ORACLE Lighting reseller can make its own decisions to advertise and sell any ORACLE Lighting product at any price it chooses without consulting or advising ORACLE Lighting. ORACLE Lighting similarly has the right to make its own independent decision regarding product allocations and reseller participation as a member of the ORACLE Lighting Authorized Reseller Program at any time.
   
   
4. If a reseller with multiple store locations violates this MAP policy at any particular store location, ORACLE Lighting will consider this to be a violation by all of the reseller’s locations.
   
   
5. Although ORACLE Lighting resellers remain free to establish their own resale prices, ORACLE Lighting reserves the right to cancel all orders and indefinitely refuse to accept any new orders from any resellers. This will be enacted following ORACLE Lighting’s verification that such reseller has advertised any products at a net retail sales price less than the established MAP retail price, or if a reseller has violatedthis policy in any other way.
6. ORACLE Lighting’s sales representatives and employees are not permitted to discuss exceptions to this policy or to make any account-specific changes with respect to ORACLE Lighting’s policy regarding reseller advertising or pricing. These terms are non-negotiable and will not be altered for any dealer. This also includes any consumer program or promotion that affects the below-listed MAP Products.

Advertisement of Pricing 

1. All products have a listed MAP retail price. Listing a price lower than the MAP retail price next to the featured product in any advertising will be viewed as a violation of this MAP policy. This MAP policy applies to all advertisement of products in any and all media, including without limitation flyers, posters,coupons, mailers, inserts, magazines, catalogs, mail order catalogs, internet or similar electronic media including websites, forums, email newsletters, email solicitations, television, radio, and public signage.
   
   

2. It shall not be a violation of this MAP policy to advertise in general that the reseller has “the lowestprices” or will match or beat its competitor’s prices, or to use similar phrases so long as the reseller does not include any advertised price below MAP and otherwise complies with this MAP policy.

3. Such websites feature as “Click For Price”, automated “Bounce-Back” pricing emails, pre-formatted email responses, forms, automatic price display for any items prior to being placed in a customer’s shopping cart, and other similar features are considered to be communications initiated by the reseller(rather than by the customer) and this constitutes “advertising” under this MAP policy. This MAP policy also applies to any activity which ORACLE Lighting determines, in its sole discretion, is designed or intended to circumvent the intent of this MAP policy, such as solicitations for ‘group purchases’ and the like.

4. Where ORACLE Lighting products are bundled with or sold as a part of a package that includes other products (where manufactured by ORACLE Lighting or not), shall be a violation of this MAP policy to sell or advertise the bundle/package at a price that is lower than the total Minimum Advertised Price of the ORACLE Lighting product(s).

5. It shall not be a violation of this MAP policy to advertise that a customer may “call for price” or “email for price”, or to use similar language, specifically with respect to ORACLE Lighting products so long as no price is listed.

Brand Image 

1. It is expected that you provide accurate product information including product specs, images/videos,usage, and policies. We offer Platinum-rated data for easy uploading of this information. Our sales team and/or marketing team may provide suggestions for how the Company may improve listings.We also have an in-house data contact for custom load sheet needs. To uphold our high standards of product advertisement, all listings must present a positive customer experience and high brand value.

2. All advertisements of our products must include the ORACLE Lighting name and/or logo. Any effort to disguise the brand of product offered or other details will violate this policy.

Online Marketplaces 

1. Limitations on Sales: The seller shall only sell ORACLE Lighting products at the Seller’s retail store,Seller’s mail order catalog, Seller’s Internet website, or at retail booths operated by the Seller at events such as races, rallies and shows. Selling or listing ORACLE Lighting products on third party sites (i.e.Amazon, eBay, Walmart, etc.) is strictly prohibited without prior written permission.

2. The most popular e-commerce platform use is on company websites. Dealers are permitted to list any ORACLE Lighting products on their e-commerce website as fit so long as they follow all other guidelines.

Exclusions 

1. From time to time, ORACLE Lighting may permit resellers to advertise products lower than the MAP retail price. This promotional MAP period is intended to provide easier promotion planning for high-value shopping times. It is expected that this period will be used to advertise ORACLE Lighting products with special discount to new and existing customers. No dealer is obligated to participate, and ORACLE Lighting may or may not provide an additional dealer discount. ORACLE Lighting reserves the right to modify or suspend the MAP retail price with respect to the affected products for a specified period of the time providing advance notice to all resellers of such changes. Adjusted pricing must start and endon/between the listed dates, and any listings bearing this lowered pricing before and/or after these dates will be in violation of the normal MAP policy. The special policy will begin at 12:00am on the beginning date and will end at 11:59pm on the ending date. Please be sure to adjust your pricing back to the normal percentages listed in our MAP agreement and remove special advertisements shortly after the sale period ends.

Violation Repercussions 

If we are informed that you have prices listed below MAP price, you will be in violation of our policy and the necessary repercussions will be taken against your account. 

1. First offense: Offender will receive written warning of the violation and be given 1 business day to correct the violation. If the violation is not corrected in 1 business day, a second violation will be deemed to have occurred. 

2. Second offense: Your account will be suspended, and no orders will be accepted for 7 days. You are expected to correct the violation to avoid a third offense. 

3. Third offense: Your account will be terminated, and you will be put on a “Do Not Sell” list that will be sent out to all distributors.
